Changes, Registration and Account Security

### 1. Changes to These Terms The Company may change, amend, add to or update these Terms from time to time. New features are also subject to these Terms. Users should review the Terms regularly. Changes take effect when posted, unless a later date is stated or applicable law requires otherwise. Continued use after changes take effect constitutes acceptance of the revised Terms, subject to any additional notice or consent required by law. A violation may result in suspension or termination in accordance with these Terms. ### 2. Registration and Account Security Users may be required to register an account and sign in to use the Services. When creating and maintaining an account, Users agree to: - Provide honest, accurate, current and complete information; - Keep that information up to date; - Notify the Company promptly if they discover or suspect unauthorised access or a security breach; and - Follow reasonable instructions for using the Site issued by the Company. Users are responsible for activities carried out through their accounts and for keeping their credentials confidential, subject to applicable law and the Company's own security obligations.

Fees, Payments and Taxes

### 3. Fees and Payment 3.1 Fees payable by Clients are those mutually agreed between the Company and the relevant Client. 3.2 Candidates are not charged fees for the Company's verification Services. 3.3 Fees are non-refundable once paid, including following suspension or termination, except as otherwise agreed in writing or required by applicable law. ### 4. Taxes Users are responsible for duties, taxes, levies and fees legally payable by them in connection with the Services. This does not transfer to Users any taxes that applicable law requires the Company to bear.

Access, Restrictions and Eligibility

### 5. Access and Restrictions 5.1 The Company owns the software and Services or holds the rights necessary to provide them. No ownership is transferred to Users. Subject to these Terms, the Company grants Users a worldwide, non-exclusive and non-transferable right, during the applicable service term, to access the Services and view, download or reproduce materials made available to them solely for their authorised use of the Services. If a User breaches these Terms, the Company may suspend access during a 30-day period following written notice in which the User may remedy the breach. If the breach remains unremedied at the end of that period, the Company may terminate access. Immediate action may be taken where necessary to comply with law or address an urgent security risk. 5.2 Users must not: - Permit unauthorised third parties to access or use the Services; - Rent, lease, lend or sell access to the Services; - Interfere with, disrupt, alter, translate or modify the Services, or place an undue burden on related networks; - Reverse engineer, decompile or disassemble software, or attempt to obtain its source code, except to the extent a restriction is prohibited by law; - Use the Services to build a competing or derivative product or copy their protected features, functions or graphics; or - Introduce automated agents or scripts to create multiple accounts, generate unauthorised automated requests or searches, or scrape or mine data. 5.3 Users must access the Services only through authorised interfaces, comply with applicable law and respect the Company's and third parties' intellectual property rights. Users must not use, encourage or permit others to use the Services to: - Stalk, harass or harm another person, including a child; - Impersonate another person or entity or misrepresent an affiliation; - Forge identifiers or disguise the origin of transmitted content; - Mislead others into believing they are interacting directly with the Company; - Send chain letters, junk email, pyramid schemes, spam or other unsolicited or duplicative messages; - Damage, disable, overload or impair servers or connected networks; or - Collect information about other Users without the necessary consent or other lawful authority. ### 6. Eligibility and Minors Users must be at least 18 years old and legally competent to enter into a contract under Indian law. Minors must not use the Site or submit information through it. Individuals accepting these Terms for an organisation must have authority to bind that organisation. This restriction does not exclude any responsibility imposed on the Company by law.

Content and Protection of the Site

### 7. Content Users must not submit material or use the Site in a way that is unlawful, fraudulent, intentionally inaccurate, defamatory, obscene, abusive, threatening, discriminatory, harmful or otherwise prohibited by applicable law. Users must not impersonate others, encourage criminal conduct, gain unauthorised access to computer systems, disrupt networks, infringe privacy or intellectual property rights, or copy protected materials without permission. Users must comply with lawful requirements applicable to specific parts of the Site. #### 7.1 Rights in Users' Content Candidates grant the Company a non-exclusive, worldwide, royalty-free and fully paid licence to use, copy and display information and documents they provide ("Content") solely to the extent necessary to provide the Services. Subject to the Candidate's required consent or other lawful authorisation, this includes verifying documents and records such as educational records, tax deduction statements, income tax returns and bank statements. Clients grant the Company a non-exclusive, worldwide, royalty-free and fully paid licence to use their trademarks, service marks and logos solely as necessary to provide the Services. Users retain all rights in their Content that are not expressly granted under these Terms. These licences do not authorise unrelated advertising, public disclosure or use of Personal Information contrary to the Privacy Policy or applicable law. Users are responsible for the accuracy, quality, integrity, legality, reliability and appropriateness of their Content and for ensuring that it does not infringe third-party rights. #### 7.2 Responsibility and Candidate Authorisation Users are responsible for Content they create, submit or make available through the Services. Content must comply with applicable law and the Company's lawful policies. Users may incur liability for false or intentionally misleading statements, defamation, infringement of third-party rights, unlawful hate speech, illegal pornography, exploitation of children or advocacy of unlawful conduct. Clients submitting a Candidate's Personal Information for verification must first obtain the Candidate's required consent or other lawful authorisation and provide any required notice. Clients must be able to demonstrate that authority and ensure that the requested verification is lawful. Subject to applicable law, Clients must indemnify the Company against claims resulting from their failure to meet those obligations. This does not relieve the Company of its own legal obligations. #### 7.3 Preservation and Disclosure The Company may preserve or disclose Content where required by law or reasonably necessary and legally permitted to comply with legal process, enforce these Terms, respond to claims of infringement, or protect the rights, property or safety of the Company, Users or the public. Personal Information remains subject to the Privacy Policy and applicable law. ### 8. Protecting the Site Users must not access without authority, interfere with, damage or disrupt any part of the Site; equipment or networks on which it is hosted; software used to provide it; or equipment, networks or software owned or used by third parties.

Confidentiality, Privacy and User Confirmations

### 9. Confidentiality 9.1 Candidate Content submitted for verification is shared only with persons who need access for the authorised Services, subject to the Privacy Policy and applicable law. Submitting verification information does not make it public or non-confidential. 9.2 Users must protect non-public information received from the Company or a Client, including documents, financial quotations, invoices and know-how, whether disclosed orally, electronically or in another form and whether or not marked confidential. 9.3 Each party must use the other party's Confidential Information only for the permitted purposes and restrict access to personnel, agents and consultants who need it and are bound by appropriate confidentiality obligations. These obligations do not apply to information that the recipient can demonstrate was publicly available without a breach of duty; was lawfully received from an unrestricted third party; was already lawfully held without confidentiality obligations; was independently developed; or was approved for unrestricted disclosure by the disclosing party. A party may disclose information to the extent required by law or a court or government order, or as necessary to establish or defend legal rights. Where legally permitted, it must give advance notice and reasonably cooperate in seeking confidential treatment. 9.4 "Confidential Information" means non-public material or information disclosed under these Terms that is identified as confidential or should reasonably be understood to be confidential, including business information, documents, bank details, quotations, invoices and know-how. ### 10. Privacy The Company may collect Candidate information, including names, email addresses, telephone numbers, contact details, salary slips, experience certificates and bank statements where needed for an authorised verification. It may also collect Client information, including authorised employee details, documents, quotations, invoices and business information, and technical information about Site usage. The collection, use, disclosure, security and retention of Personal Information are governed by the Privacy Policy and applicable law. Technical support providers receive access only to the information needed for their work and must comply with appropriate privacy and confidentiality requirements. Users must not submit online banking passwords, PINs, one-time passwords or other account access credentials through verification document submissions. ### 11. User Confirmations and Verification Outcomes Users agree to use the Services only for lawful purposes and provide authentic, accurate information. The Company may validate submitted information and, where details are materially false, reject registration, suspend access or terminate the account in accordance with these Terms and applicable law. Users should exercise reasonable judgment when using the Services. Verification results depend on the information supplied and the availability and accuracy of relevant records. Clients remain responsible for their employment decisions and for complying with applicable law. Registration or verification does not guarantee recruitment, an interview or an employment opportunity. Employment decisions are made by the relevant Client.

Disclaimers, Liability and Indemnification

### 12. Disclaimers and Limitation of Liability To the fullest extent permitted by applicable law, the Services are provided without warranties or representations other than those expressly agreed in writing. The Company does not warrant that the Site will always be available, uninterrupted or free from errors. It is not responsible for inaccurate or misleading information supplied by Users or for disputes between Users and independent third parties, except to the extent responsibility is imposed by law. Users must not reproduce, duplicate, copy or resell the Site except as expressly permitted. Unauthorised use may result in liability for loss caused to the Company, subject to applicable law. To the fullest extent permitted by law, the Company is not liable for consequential, special, incidental or indirect losses arising from use of the Services. Subject to any applicable written agreement and the exceptions below, its aggregate liability for a claim arising from the Services will not exceed the fees paid by the relevant User for those Services. The Company is not responsible for failure or delay caused by events beyond its reasonable control. A security incident or network failure does not automatically excuse a failure to meet the Company's own legal or contractual security obligations. Nothing in these Terms excludes or limits liability for fraud, wilful misconduct or any liability or statutory remedy that cannot lawfully be excluded or limited. These Terms do not automatically transfer the Company's responsibility for its own intellectual property infringement or other legal obligations to Users. ### 13. Indemnification Subject to applicable law, Users must indemnify the Company against reasonable losses, expenses, damages and costs arising from their unlawful use of the Site, breach of these Terms or infringement of third-party rights. This indemnity does not cover loss caused by the Company's own unlawful conduct or breach of its obligations. The Company may assume the defence of a covered third-party claim and request reasonable cooperation. No settlement may impose an admission, payment obligation or non-monetary obligation on a User without that User's consent, which must not be unreasonably withheld.

Intellectual Property and Third-Party Services

### 14. Intellectual Property The Company and its licensors retain all rights in the Site and Services, including software, technology, documents, products, logos, graphics, sounds, images and related materials. Users acquire only the limited rights expressly granted by these Terms. Users' own Content remains subject to Section 7.1. The Company may modify, update or enhance the Site and may suspend or terminate access in accordance with these Terms, applicable written agreements and applicable law. Users must not modify copies of protected Site materials or use them commercially without an appropriate licence. If materials are copied or downloaded in breach of these Terms, the Company may require Users to stop using and return or destroy the unauthorised copies, subject to legal retention requirements. ### 15. Third-Party Websites and Services Third-party websites or apps linked from the Site are provided for convenience. A link does not imply endorsement or a warranty about their content. Users must review and comply with applicable third-party terms and privacy policies and take reasonable precautions against harmful material. The Company does not control independent third-party services, subject to any responsibility it has under applicable law.

Termination, Governing Law and General Terms

### 16. Severability If a provision is held invalid or unenforceable, the remaining provisions continue in effect to the extent permitted by law. ### 17. Termination The Company may suspend or terminate access for breach in accordance with Section 5.1, or where otherwise permitted by applicable law or an applicable written agreement. Upon termination, Users must stop using the Services and cease using or return or destroy Company materials as required, subject to lawful retention obligations. Users may terminate their relationship by providing written notice to the Company and requesting closure of their account through the available support channels. Fees remain subject to Section 3. Termination does not automatically require deletion of information that must lawfully be retained. Personal Information remains subject to the Privacy Policy. Provisions intended by their nature to survive termination, including confidentiality, rights in Content, intellectual property, accrued payment obligations, indemnification, limitations of liability and dispute resolution, continue to apply to the extent permitted by law. ### 18. Waiver A failure or delay to enforce a provision or exercise a right does not waive that provision or right. A waiver is effective only when recorded in writing by the party granting it and applies only to the circumstances stated. ### 19. Governing Law and Disputes These Terms are governed by Indian law. Subject to any mandatory jurisdiction or remedy under applicable law, courts of competent jurisdiction in Bengaluru, Karnataka, have exclusive jurisdiction over proceedings arising from these Terms. Subject to applicable law, disputes that may lawfully be referred to arbitration will be referred to a sole independent and impartial arbitrator appointed by mutual agreement. If the parties cannot agree on an appointment, the arbitrator will be appointed through the procedure available under the Arbitration and Conciliation Act, 1996, as amended. The seat and venue of arbitration will be Bengaluru, Karnataka. An award is binding subject to statutory rights of challenge and enforcement. Nothing in this clause removes any non-waivable statutory remedy. ### 20. Miscellaneous These Terms, the Privacy Policy and other expressly applicable terms form the agreement governing use of the Site and Services and supersede prior understandings on that subject. If a signed written agreement between the Company and a Client conflicts with these Terms, the signed agreement prevails to the extent of that conflict, subject to applicable law.
